Engineering firm that generated its revenue representing manufacturers of customizable commercial HVAC solutions, designing high-end custom systems for commercial end markets including life science, higher education, healthcare, multifamily and industrial manufacturing. The company held exclusive distribution and reseller rights across five contiguous states within a single U.S. region. DBD ran the sell-side process and marketed the company on its exclusive territory, the transferability of its engineering expertise across end markets, and a working capital profile that carried limited risk and converted to free cash flow. The company was acquired by a private equity firm.

Youth Sports / Consumer Services

After-school youth soccer program expanding nationally. During the process DBD approached a complementary after-school sports program whose owners wanted to relocate abroad, ran parallel sell-side processes, and combined both companies for a private equity fund affiliated with a hedge fund, in a transaction valued at approximately $15–20M. One of the earliest transactions the DBD founding team completed together.

Telecom / Wireless Infrastructure

Provider of wireless  broadband delivered via rooftop antennas in historic urban districts where  fiber could not be run through protected streets and buildings. Customers  included high-frequency trading firms using the wireless feed as a faster or  redundant alternative to fiber. Sold to a strategic acquirer at 10–12x EBITDA  in 2017, in a transaction of approximately $10–20M.

Designer and installer of complex industrial exhaust and chimney systems for large commercial buildings, including a major corporate campus, data centers and medical facilities. DBD executed a sell-side process achieving approximately an 8x multiple against a 5–6x market average. The company did roughly $2M of EBITDA.

Industrial Distribution

Distributor of electronic and pneumatic valves and components used in industrial automation and transit infrastructure, referred to DBD by a private bank. DBD ran a broad competitive process, delivering approximately 8x EBITDA against a market trading at approximately 5x. The company was acquired by a private-equity-owned strategic platform as a logical add-on. This was the first transaction that referral source sent to DBD.

Software identifying property-tax exemption fraud for state and municipal government agencies. The company had an ~$8M inbound offer, but DBD identified that the real value was a ten-plus-year dataset of municipal tax records that government agencies are required to destroy every five years. DBD repositioned the business around that dataset, ran a full competitive process, and closed at north of ~$16M with a strategic fund whose founder had previously sold a government software business to a major technology acquirer.

Healthcare Services

Physician-led provider of healthcare services delivered inside long-term elderly care facilities. During the sell-side process DBD identified a complementary ancillary services business run by a consultant already embedded in the process, and engineered a dual sale combining both companies into a single transaction for a private equity buyer at approximately 10x EBITDA. The combined entity transacted at well over ~$70M, with the consultant becoming CEO of the merged group. Closed in ~four months.

Retail / Jewelry

Multi-generational high-end jewelry business in a fast-growing suburban market, with sought-after in-house custom design capability and an increasing mix of lab-grown diamonds. Acquired by an individual investor. DBD secured a ~7x multiple, structured as approximately 4.5x EBITDA plus approximately $2.5M of inventory.

Manufacturing / Medical Devices

Leading regional manufacturer of durable medical equipment specializing in seating and positioning solutions, including mattress systems, wheelchair cushions and repositioning products. The company is seeking an acquirer with the resources to scale operations, capture market share and unlock top-line growth. DBD fielded valuations in the 5–6x range and the process now continues through diligence.

Digital Multimedia Systems

Global distributor and integrator of digital multimedia conference systems, with a portfolio spanning conferencing and sound solutions for collaborative spaces serving government, education and corporate clients. DBD ran a sell-side process in which the project received a ~7x valuation, with a total purchase price of approximately $17M.

Project Mai Tai

Manufacturing / Packaging

Destination cultural-experience and event venue. A roughly $10M transaction. The buyer was a regional transportation operator whose business depended heavily on shuttling guests to and from the client’s properties. DBD identified that dependency and used it as leverage throughout the negotiation, holding firm on price despite significant pushback from the buyer’s CFO, who had no real alternative to closing.

Deep Riddle

Consumer / E-commerce

Premium collectible consumer products brand sold direct to consumer. A roughly $3M transaction on approximately $200K of EBITDA. DBD ran a full process, generated multiple letters of intent, and sold the company to an e-commerce brand consolidator at approximately 15x EBITDA. Small in size, outsized in multiple.

Manufacturer of professional  studio fitness equipment, under financial stress when a private bank client  sought to acquire it. DBD executed the full acquisition process, and a DBD  principal then served as fractional CFO for approximately one year post-close  before helping recruit a permanent CFO. The company is performing well and  remains in close contact with DBD regarding future acquisitions or a sale.

Specialist industrial exhaust and chimney engineering firm, introduced through an existing client relationship. DBD executed buy-side acquisitions of a regional contractor and an international firm in the same discipline, and integrated the financials across all three entities.

Manufacturer of metalized plastic components for consumer brands, backed by a European family office, relying on third-party suppliers for a substantial share of its variable cost base. DBD executed a buy-side strategy targeting one of the company’s own suppliers, internalizing approximately 25% of variable costs and delivering a double-digit EBITDA impact straight to the bottom line. Rapidly expanding boutique fitness studio platform that could not access traditional capital because corporate EBITDA of roughly $500K did not support a meaningful loan. DBD reframed the underwriting around store-level EBITDA of over ~$2M and projected new locations, securing a $24–25M line from a senior lender. When the platform outgrew that lender’s per-deal cap, DBD went back to market and arranged a ~$90M facility with an institutional credit fund. The company is now approaching $30–35M of EBITDA and planning its next market process.

Industrial Manufacturing

Metal stamping manufacturer producing components for heavy trucks, HVAC systems and specialized high-pressure vessels. The company faced near-foreclosure when a metal price dip tripped covenants with its incumbent senior lender. DBD arranged a $5–7M bridge loan to backstop the covenant, then structured a full recapitalization with a term facility through a senior lender and an asset-based line secured against equipment including cross-border inventory — avoiding bankruptcy over a ~two-year process. The company is now targeting a sell-side exit at 10–15x EBITDA.

Project Launchpad

Technology / Data Storage

Formed through the merger of two data storage companies, the combined entity was venture-backed with EBITDA-positive-to-neutral financials, making a roughly $50M transaction unfundable through conventional channels. DBD combined both companies’ profit and loss statements on a pro forma basis, obtained an intellectual property insurance policy covering the IP of both firms, used that policy as collateral, and structured a financing package exceeding ~$20M. DBD subsequently executed a buy-side acquisition for the same client, running a cashless offer process with the board. The company was eventually folded into a larger data business.
